Board of Directors Composition

4.2. Composition and term
The board of directors shall consist of at least four (4) but not more than seven (7) directors until changed by amendment to these bylaws. The exact number of directors shall be fixed, within those limits, by a resolution adopted by the board of directors. Directors shall be elected for a three-year term, and the board shall be grouped such that approximately one-third of the terms expire each year. Each director shall hold office for a three-year term or until a successor shall have been elected and qualified, or until death, resignation or removal, except in the case where a director is elected to fill a vacancy for the unexpired portion of a term. The transition from one-year terms to three year terms shall be established by policy of the board of directors. Directors shall be elected for a term beginning on January 1 and ending on December 31 or until their respective successors are elected and installed.
The directors shall be elected from among the corporate, sustaining, and associate member categories in the following ratio:
Four (4) directors Two (2) corporate or sustaining members and two (2) associate members
Five (5) directors Three (3) corporate or sustaining members and two (2) associate members
Six (6) directors Three (3) corporate or sustaining members and three (3) associate members
Seven (7) directors Four (4) corporate or sustaining members and three (3) associate members
